Terms of Service

Please read these Terms carefully. By accessing or using SchoolHouseStock, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SchoolHouseStock, Inc. ("SchoolHouseStock," "we," "us," or "our") governing your access to and use of the SchoolHouseStock website, mobile applications, and all associated services (collectively, the "Platform").

By creating an account, listing a resource, purchasing a resource, or otherwise accessing the Platform, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding contract, and agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. The Platform and Services

SchoolHouseStock is a two-sided marketplace that enables:

  • Sellers (educators and content creators) to list, sell, and deliver digital educational resources and print-on-demand merchandise.
  • Buyers to discover, purchase, and download digital educational resources or order print-on-demand merchandise.

SchoolHouseStock acts as a marketplace facilitator and technology provider. We are not a party to the underlying transaction between Buyers and Sellers except as specified in these Terms. We do not create, endorse, or guarantee any resource listed on the Platform.

3. Accounts

3.1 Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent suspensions, limitations, or policies is prohibited and may result in permanent termination of all associated accounts.

3.3 Account Security

You must notify us immediately at support@schoolhousestock.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized account use where you failed to take reasonable security precautions or failed to promptly notify us.

4. Seller Terms

4.1 Eligibility

To become a Seller, you must complete our seller onboarding process, connect a valid Stripe Express account, and agree to the Stripe Connected Account Agreement. You must be at least 18 years of age and legally permitted to sell in your jurisdiction.

4.2 Listings

Sellers are responsible for all content they list on the Platform, including accuracy of descriptions, appropriate age ratings, grade-level designations, and compliance with all applicable laws. By listing a resource, you represent and warrant that:

  • You are the original creator of the resource or hold all necessary rights and licenses to sell it.
  • The resource does not infringe any third-party intellectual property rights, including copyrights, trademarks, or trade secrets.
  • The resource does not contain any content that is illegal, defamatory, obscene, harmful to minors, or otherwise violates these Terms or applicable law.
  • Any fonts, clip art, images, or other third-party materials incorporated in the resource are used under licenses that permit commercial resale.
  • The resource is accurately described and is of the quality represented in the listing.

4.3 Prohibited Content

The following resource types are prohibited on SchoolHouseStock:

  • Resources that reproduce copyrighted materials from publishers, textbooks, or standards bodies without a license permitting resale.
  • Assessment items, answer keys, or test preparation materials that reproduce licensed standardized test content.
  • Materials containing student personally identifiable information.
  • Resources containing adult, violent, or inappropriate content for educational settings.
  • Resources that are substantially identical to free publicly available materials, with no meaningful added value.
  • Spam listings, placeholder listings, or listings created solely to manipulate search results or metrics.

4.4 Platform Fees and Payouts

SchoolHouseStock charges a platform commission of 10% of the gross sale price for each transaction (the "Platform Fee"). The remaining 90% (minus applicable Stripe payment processing fees, typically 2.9% + $0.30 per transaction) is paid to the Seller via their connected Stripe Express account.

Payouts are processed by Stripe on the Seller's configured payout schedule. SchoolHouseStock does not hold Seller funds. Funds are settled directly from Stripe to the Seller's bank account.

We reserve the right to adjust the Platform Fee with 30 days' advance notice to active Sellers. Changes will not apply to transactions completed before the effective date of the fee change.

4.5 Taxes

Sellers are solely responsible for determining, collecting, reporting, and remitting any and all taxes applicable to their sales, including but not limited to income tax, sales tax, VAT, and GST. SchoolHouseStock does not collect, remit, or advise on Seller tax obligations. You should consult a qualified tax advisor regarding your obligations. We may issue tax forms (such as IRS Form 1099-K) as required by law.

4.6 Account Integrity

Sellers may not solicit Buyers to purchase resources outside the Platform in order to avoid Platform Fees. Sellers may not manipulate reviews, ratings, or sales counts through artificial means, including purchasing fake reviews, incentivizing positive reviews, or filing false copyright complaints against other Sellers.

5. Buyer Terms

5.1 Purchases

By completing a purchase on SchoolHouseStock, you agree to pay the listed price for the resource. All prices are in U.S. dollars unless otherwise stated. Payment is processed by Stripe at the time of purchase.

5.2 Digital Delivery

Upon successful payment, digital resources are made available for download via a secure, time-limited link sent to your registered email address and displayed on your order confirmation page. SchoolHouseStock is not responsible for your inability to access files due to incompatible software, inadequate storage, or technical issues on your end.

5.3 License to Use Purchased Resources

When you purchase a digital resource, you receive a non-exclusive, non-transferable, non-sublicensable personal license to use that resource for your own educational purposes in your own classroom(s). Unless the Seller's listing explicitly states otherwise, you may not:

  • Redistribute, resell, share, or otherwise transfer the resource to any other person.
  • Post the resource to any file-sharing site, course platform, or other digital distribution channel.
  • Modify and resell the resource as your own work.
  • Use the resource for commercial purposes outside of your own classroom instruction.

A single-user license covers use by one teacher. If your school or district needs a multi-user license, contact the Seller directly.

5.4 Print-on-Demand Orders

Print-on-demand merchandise orders are fulfilled by Printful, a third-party print and fulfillment service. Shipping times, carrier selections, and fulfillment are subject to Printful's terms and capabilities. SchoolHouseStock is not responsible for shipping delays, customs fees, or fulfillment errors caused by Printful or shipping carriers.

5.5 Refund Policy

Because digital resources are delivered electronically and can be used immediately upon download, all sales of digital resources are final unless:

  • The file delivered is corrupt, inaccessible, or materially different from what was described in the listing.
  • The resource contains content that violates these Terms.
  • Applicable law mandates a refund right that cannot be waived.

To request a refund, contact support@schoolhousestock.com within 7 days of purchase with your order number and a description of the issue. We review each request and, where warranted, issue a refund and reverse the transfer from the Seller's account. For print-on-demand merchandise, please contact us within 30 days of delivery for defective or incorrect items.

6. Intellectual Property

6.1 Your Content

You retain all intellectual property rights in content you create and upload to the Platform. By uploading content, you grant SchoolHouseStock a worldwide, royalty-free, non-exclusive license to host, store, display, and distribute your content solely as necessary to operate the Platform and provide the services described in these Terms.

6.2 SchoolHouseStock Intellectual Property

The SchoolHouseStock name, logo, website design, software, and all Platform content created by us are owned by or licensed to SchoolHouseStock and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or create derivative works of our intellectual property without our express written permission.

6.3 Copyright Infringement — DMCA

SchoolHouseStock respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our Platform infringes your copyright, please send a DMCA takedown notice to:

Your notice must include: (i) identification of the copyrighted work; (ii) identification of the infringing material and its location; (iii) your contact information; (iv) a statement of good faith belief that the use is unauthorized; (v) a statement of accuracy under penalty of perjury; and (vi) your physical or electronic signature.

We will terminate accounts of users who are repeat infringers.

7. Prohibited Conduct

You agree not to engage in any of the following conduct on or through the Platform:

  • Violating any applicable local, state, national, or international law or regulation.
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
  • Engaging in fraudulent activity, including using stolen payment information.
  • Attempting to gain unauthorized access to any part of the Platform, user accounts, or our computer systems.
  • Interfering with or disrupting the integrity or performance of the Platform, including by transmitting malware, viruses, or harmful code.
  • Scraping, crawling, or data-mining the Platform without our prior written consent.
  • Using automated tools to create accounts, list resources, submit reviews, or otherwise interact with the Platform.
  • Engaging in any activity that imposes an unreasonable load on our infrastructure.
  • Harassing, threatening, or intimidating other users.
  • Circumventing or attempting to circumvent any security measure or access control of the Platform.

8. Reviews and Ratings

Buyers may leave reviews for resources they have purchased. Reviews must be honest, based on your actual experience with the resource, and must not contain personal attacks, discriminatory language, or content unrelated to the resource. SchoolHouseStock reserves the right to remove reviews that violate these standards. Sellers may not offer incentives for positive reviews or retaliate against Buyers for negative reviews.

9. Termination and Suspension

SchoolHouseStock reserves the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons:

  • Violation of these Terms or our policies.
  • Fraudulent, illegal, or harmful activity.
  • Repeated or serious copyright infringement.
  • Prolonged inactivity (accounts with no activity for 24+ months).
  • At our discretion, for any reason, where we determine that continued access is not in the best interest of the Platform or our community.

Upon termination of a Seller account, pending payouts for completed transactions will be processed according to Stripe's normal schedule. We are not obligated to pay commissions for transactions under dispute or involving violations of these Terms. You may request a review of a suspension by contacting support@schoolhousestock.com.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEACHERPLATFORM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will be uninterrupted, error-free, or free of viruses; (b) any resource listed on the Platform will meet your requirements or expectations; (c) the results of using any resource will be accurate or reliable; or (d) the quality of any resource purchased will meet your expectations.

SchoolHouseStock does not endorse any Seller or resource. We make no representations about the educational efficacy, accuracy, or appropriateness of any resource listed on the Platform.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEACHERPLATFORM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TEACHERPLATFORM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO TEACHERPLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SchoolHouseStock and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any content you upload or list on the Platform; (d) your infringement of any third-party intellectual property rights; or (e) your violation of any applicable law.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at support@schoolhousestock.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve the dispute within 30 days.

13.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (other than injunctive or other equitable relief to protect intellectual property rights) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English and, unless otherwise required by the AAA rules, shall be a desk arbitration unless you request an in-person hearing.

13.3 Class Action Waiver

YOU AND TEACHERPLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SchoolHouseStock with respect to the Platform and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
  • Force Majeure: We shall not be liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the effective date above and, where appropriate, by sending an email notification or displaying a notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
